At Lunch Breaks TV, we're passionate about helping artists explore new creative possibilities through music, video, and AI-powered storytelling. This Contest is designed to give artists the opportunity to gain exposure and bring their music to life with custom AI-generated visuals.
These Official Terms and Conditions outline the Contest details, prize information, participant responsibilities, ownership rights, and other important information related to your participation.
By submitting an entry, you confirm that you have read, understood, and agree to these Terms and Conditions.
1. Prize Description
The prize consists of a 60-second AI-generated music video created by Lunch Breaks TV. The video will feature one verse and chorus of the selected song, or an equivalent short-form segment, as determined solely by Lunch Breaks TV based on creative and structural requirements.
2. Selection and Publication
The completed AI-generated music video will be published on Lunch Breaks TV platforms and associated social media channels. Lunch Breaks TV will feature and distribute the video with the goal of providing maximum exposure for the artist’s brand and music. Lunch Breaks TV retains full discretion over final editing, presentation, timing, and placement of the content to best support promotion and audience reach.
3. Grant of Rights – Name, Image, and Likeness
In order to create your AI music video, we may need to use your submitted materials, including photographs, name, image, likeness, and completed music.
By entering this Contest, you grant Lunch Breaks TV a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, edit, adapt, and display these materials for the purpose of creating an AI-generated artist persona and producing, promoting, and distributing your AI music video and related promotional content.
4. Grant of Rights – Musical Composition and Performance
To bring your AI music video to life, we also need permission to use your submitted music.
By entering this Contest, you grant Lunch Breaks TV a worldwide, royalty-free license to use, synchronize, reproduce, edit, distribute, and publicly display your musical composition and/or sound recording solely for the purpose of creating, producing, promoting, and distributing your AI-generated music video.
You represent and warrant that you are the rightful owner of the submitted music, or that you have obtained all necessary rights, permissions, licenses, and clearances required to grant this license.
5. Ownership of Music and Final Video
Participants retain ownership of their underlying musical compositions, master recordings, and rights of publicity, including their name, image, and likeness.
The Final Video is not a work made for hire.
Lunch Breaks TV shall exclusively own all rights, title, and interest in the creative production elements of the Final Video, including but not limited to editing, sequencing, arrangement, visual design, AI-generated imagery, compositing, and the final assembled audiovisual work, excluding the underlying music and likeness rights retained by the participant.
All rights not expressly granted herein are reserved by Lunch Breaks TV.
6. Winner Usage Rights
We want you to be able to share your moment. The winner is granted a limited, non-exclusive, non-transferable license to upload and share the Final Video on personal social media platforms.
This license is granted solely for personal promotional purposes and may not be assigned, transferred, sublicensed, licensed, or otherwise granted to any third party.
This means you’re free to post and promote your video, but this right cannot be assigned, transferred, sublicensed, or given to any other person or entity.
7. Content Use & Restrictions
Your AI music video is provided to you for personal promotional use and exposure only.
The winner may not sell, monetize, license, commercially exploit, distribute through third-party channels, or otherwise authorize third-party use of the Final Video without the prior written consent of Lunch Breaks TV.
8. Eligibility Representation
By entering, participants represent and warrant that:
(a) they own or control all rights necessary to submit the materials provided;
(b) the submitted materials do not infringe upon any third-party rights; and
(c) they possess full authority to grant the licenses described in these Terms.
9. Liability Waiver
By participating in this Contest, entrants release, discharge, and hold harmless Lunch Breaks TV, its affiliates, owners, employees, contractors, and agents from any liability, claims, damages, losses, or expenses arising out of participation in the Contest or acceptance and use of any prize.
Prizes are provided "as is" without warranties of any kind.
10. Indemnification
Entrants agree to indemnify, defend, and hold harmless Lunch Breaks TV and its affiliates, owners, employees, contractors, and agents from any claims, damages, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of:
(a) a breach of these Terms;
(b) any claim that submitted materials infringe the rights of another party; or
(c) any use of the rights granted under these Terms.
11. Right to Modify, Suspend, or Terminate
Lunch Breaks TV reserves the right to modify, suspend, or terminate the Contest, in whole or in part, at any time and for any reason, including technical issues, fraud, abuse, or circumstances beyond its reasonable control.
12. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from or relating to to this Contest shall be resolved exclusively in the state or federal courts located in Florida, and entrants consent to the jurisdiction of such courts.
13. Severability
If any provision of these Terms & Conditions is found to be unlawful, void, or unenforceable, that provision shall be severed and will not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
14. Acceptance of Terms
By entering the Lunch Breaks TV AI Music Video Contest, participants acknowledge that they have read, understood, and agree to be bound by these Official Contest Rules and Terms.
